This Agreement is legally binding between you (“User”, “you” or “your”) and Pacific Aviation Solutions Limited (“Pacific Aviation Solutions Limited”, “we”, “us” or “our”). By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.

If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms “User”, “you” or “your” shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access or use the Website and Services. You acknowledge that this Agreement is a contract between you and Pacific Aviation Solutions Limited, even though it is electronic and is not physically signed by you.

Accounts & Memberships

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and by agreeing to this Agreement, you warrant and represent that you are at least 18 years of age. User Content

We do not own any data, information, or material (collectively, “Content”) that you submit on the Website in the course of using the Service. You are solely responsible for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership or right to use all submitted Content. We may monitor and review the Content on the Website submitted or created using our Services by you.   • Non-Public HR-listed Data | Any flight-crew data you designate as “HR-listed” is never displayed to the general public. It may be accessed only by HR departments and recruiters vetted and expressly approved by us, who have signed confidentiality undertakings, and who use the data solely for lawful recruitment, compliance, or safety-management purposes in line with the Privacy Act and applicable aviation-security regulations.
  • Inter-Employer “Serious-Threat” Disclosures | Approved HR departments may disclose or request personal information about a former or prospective employee when they reasonably believe the disclosure is necessary to prevent or lessen a serious threat to an individual’s life, health, or safety, or to public safety (Information Privacy Principle 11, Privacy Act 2020). Such exchanges must be limited to information strictly required for that purpose, transmitted via secure channels, and documented for compliance purposes.
  • Security-Related Disclosure Exception | We may also disclose personal information where we reasonably believe it is necessary to prevent or lessen a serious threat to an individual’s life, health, or safety, to public health or public safety, or to avoid prejudice to the maintenance of the law by a public-sector agency.

  • Publisher as Agency | The organisation or individual that uploads or publishes personal information determines the purpose and means of processing and therefore remains the “agency” with primary legal obligations under the Privacy Act.
  • No Editorial Control | We do not verify, moderate, or warrant the accuracy, completeness, or lawfulness of any Content supplied by Users. Accordingly, we cannot be held responsible for any privacy breach, defamation, or other harm arising from User-supplied Content.
  • Dispute Resolution | Any privacy complaint, request for access or correction, or legal claim relating to User-supplied information must be directed to the publishing agency or individual. Billing & Payments

If auto-renewal is enabled for the Services you have subscribed for, you will be charged automatically in accordance with the term you selected. If, in our judgment, your purchase constitutes a high-risk transaction, we will require you to provide us with a copy of your valid government-issued photo identification and possibly a copy of a recent bank statement for the credit or debit card used. We reserve the right to change products and product pricing at any time and to refuse any order. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. Backups

We are not responsible for the Content residing on the Website. In no event shall we be liable for any loss of Content. It is your sole responsibility to maintain appropriate backups of your Content. On some occasions—and with no obligation—we may be able to restore some or all of your data that has been deleted as of a certain date and time when we may have backed up data for our own purposes, but we make no guarantee that the data you need will be available.

To the maximum extent permitted by law, the aggregate liability of Pacific Aviation Solutions Limited and its affiliates, officers, employees, agents, suppliers, and licensors relating to the Services will be limited to the greater of one dollar (NZD 1) or the amount actually paid in cash by you to Pacific Aviation Solutions Limited for the one-month period preceding the first event giving rise to such liability.

Indemnification

You agree to indemnify and hold Pacific Aviation Solutions Limited and its affiliates, directors, officers, employees, agents, suppliers, and licensors harmless from and against any liabilities, losses, damages, or costs, including reasonable attorneys’ fees, arising out of or relating to (i) your Content; (ii) your use of the Website and Services; (iii) your violation of the Privacy Act or other data-protection laws (including improper reliance on the serious-threat exception); or (iv) any wilful misconduct on your part.

The exclusive jurisdiction and venue for actions related to the subject matter hereof shall be the courts located in New Zealand, and you hereby submit to their personal jurisdiction. You waive any right to a jury trial in any proceeding arising out of or relating to this Agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Assignment

You may not assign, resell, sub-license, or otherwise transfer or delegate any of your rights or obligations hereunder, in whole or in part, without our prior written consent; any such assignment or transfer shall be null and void. We are free to assign any of our rights or obligations hereunder, in whole or in part, to any third party as part of the sale of all or substantially all of our assets or stock or as part of a merger.
